			<content:encoded><![CDATA[<p>There are many ways to extend your brand-name in a franchise company.  The goal is to do it is fast as possible while maintaining a strong franchise family.  Often franchise systems will choose a Master franchise strategy, whereby they will sell their rights to others within a region to again sell franchises.</p>
<p>This strategy works well for both parties and provides significant financial incentives to the Master franchise partner.  However, once all the areas in territories are sold within the region of responsibility for the Master franchise agreement, then the Master franchise has less financial incentives and generally only receives a percentage of the royalties of the current franchisees.  At this point often the Master franchise will wish to sell their rights back to the franchisor or to another entity.</p>
<p>The first time I had to deal with such a situation I found it necessary to set specific limitations and stipulations all the transfer.  Later I decided to include these limitations and stipulations in the Master franchise agreement prior to assigning. Below is a copy of the clause in the contracts that I came up with;</p>
<p>5.7 Transfer of Master Franchise</p>
<p>Master Franchisee may not directly or indirectly sell, pledge, assign, transfer or convey any interest in the Master Franchise without the prior written consent of Franchisor. In connection with any sale, transfer or assignment of the Master Franchise, the following requirements for Master Franchisee (assignee) must be met to the full satisfaction of Franchisor as a condition to any transfer:</p>
<p>(a) The assignee must, at the time of such assignment or transfer, be financially responsible and economically capable of performing Franchisor&#8217;s objectives in this Franchise Agreement and in Franchisor&#8217;s business development plan.</p>
<p>(b) The assignee must expressly assume and agree to perform such obligations and sign a binding agreement with Franchisor.</p>
<p>(c) The assignee must be trained and pass Franchisor&#8217;s special Master Franchise training course.</p>
<p>(d) The assignee must be competent and subject to a thirty (30) to sixty (60) calendar day review by Franchisor before a transfer to them.</p>
<p>(e) The assignee must run their own &#8220;THE CAR WASH GUYS&#8221; franchise for at least four (4) months before the transfer.</p>
<p>(f) The assignee must own and run a company store unit for the duration of their franchise in a specifically designated area other than the Marketing Areas of their master area franchisees but in the same general region as their master area franchisees.</p>
<p>(g) The assignee must be able to provide all on-going support items to franchisees listed in this Franchise Agreement.</p>
<p>(h) The assignee must attend any formed franchisee organization, union or association meetings in their master area which have been officially recognized by the Franchisor, providing that the franchisees want the Master Franchisee to be there and of which their master area franchisees are a member.</p>
<p>(i) The assignee must maintain on hand at least one regional team member and one loaner truck for every twenty (20) franchisees in their assigned master area.</p>
<p>(j) The assignee must sign a non-competition agreement with their master area franchisees not to operate their company store in the Marketing Areas of their master area franchisees unless they have been asked to by a franchisee in case of vacation or injury.</p>
<p>&#8212;&#8212;- &#8212;&#8212;- &#8212;&#8212;&#8211;</p>
<p>When expanding a franchising company thru master franchising you would be well advised to consider such things. You will need to consult with a Franchising Attorney to make sure this is done correctly and in your best interests and you should ask them about these issues. I hope you will consider this in 2006.</p>

			<content:encoded><![CDATA[<p>(NC)Inspired by an event launched last year by Amnesty International Poland, this year on December 10th, human rights supporters in Canada will take part in the Write-A-Thon for Rights.</p>
<p>December 10th is International Human Rights Day  the 55th anniversary of the proclamation of the Universal Declaration of Human Rights. Last year, people from all over the world were encouraged by Amnesty Poland to write letters on behalf of those whose human rights are violated. The letters were directed to either government authorities or directly to those being abused. </p>
<p>Human rights supporters from<br />
21 different countries around the world responded, generating more than 6,000 letters during a 24-hour period. Canadians of all ages and backgrounds wrote over 400 of those messages<br />
last year.</p>
<p>Last year was just a warm-up. This year, Amnesty International is encouraging Canadians from far and wide, from Resolute to Victoria to Goose Bay, to write and fax as many letters and actions as possible.  Send letters, postcards or faxes on December 10th to call for the protection of human rights of those at risk of abuse throughout the world. This year&#8217;s goal is to surpass 1,000 letters and actions from across Canada. </p>
<p class="m-asubheadtext">How do you do it? The possibilities are endless.</p>
<p>&#8226; Get your family, friends, co-workers, classmates or faith community involved and write letters together on December 10th. </p>
<p>&#8226; If you belong to an Amnesty International community group, include a letter-writing opportunity during your existing Human Rights Day events or plan a public event that focuses on letter-writing. If you&#8217;d like to contact the local group in your area, you can contact Amnesty International for more information.</p>
<p>&#8226; Think creatively - light a candle for every ten letters signed or blow up a balloon each time and fill up the room! </p>
<p>&#8226; At the end of the day, you can tally the number of letters you generated and contact Amnesty International with your total by fax, phone or email. These numbers will then be forwarded to Poland for a worldwide tally.</p>

			<content:encoded><![CDATA[<p>Turnitin.com is undeniably an effective deterrent to plagiarism, but it is the very issue of copyright infringement that has people questioning the legality of the site. What many people don&#8217;t understand is that works do not need to be registered to be copyrighted. Every literary work that is saved to a tangible medium (this includes paper, computer disk, etc.) is protected by federal copyright laws. Thus, the works submitted to Turnitin.com are copyrighted and the authors hold complete rights to the works.</p>
<p>What the Turnitin.com system does, however, is it stores the submitted paper on their servers. This is done without the student&#8217;s permission. Turnitin.com is operating under the pretense that teachers will force their students to submit to Turnitin.com. Thus, student papers are stored in iParadigm&#8217;s (the company that runs Turnitin.com) database. This in itself is a blatant violation of the 1976 Federal Copyright Act. Turnitin.com is duplicating copyrighted material without the consent of the student. The student is forced to submit to the site, so submissions are not considered voluntary. In addition, the site does not ask for permission to store the paper, instead, it is done automatically.</p>
<p>iParadigm and their team of lawyers admit in their legal page that the archiving of papers is treading on shaky legal ground. They affirm, however, that their services constitute &#8220;fair use&#8221; by grounds that their service does not limit the marketability of the paper. The claim that their service doesn&#8217;t limit the marketability of a paper is false. If one were to sell a term-paper that was already in the Turnitin.com database, the paper would be of little use to a potential student buyer because any similarities from the student&#8217;s paper would be red flagged. The very addition of a paper to the Turnitin.com database severely limits the feasible marketability of the paper. That is, the archiving of one&#8217;s paper eliminates other students with the same assignment as potential buyers of the paper.</p>
<p>Another strikingly illegal aspect of the Turnitin.com service is the fact that many teachers submit student works without the student&#8217;s permission. Turnitin.com is operating under the pretense that this is occurring. When a student gives a teacher a paper for grading the assumption is that evaluative rights are given to the teacher. In no way is the teacher entitled to submit the paper to be copied to the iParadigm servers. iParadigm is breaking copyright laws by duplicating a paper without the copyright holder&#8217;s consent.</p>
<p>In effect, the paper (but not the copyright) becomes property of Turnitin.com. Turnitin.com is clearly making a profit off the papers that students submit. Without the database of some 60,000 student-submitted papers, the Turnitin.com service would not be as effective. Every paper submitted makes the service more effective and the company therefore yields greater profits. Schools that use the service have to pay large amounts of money in the thousands to ten thousands of dollars range. It is clear that the company is profiting off of students&#8217; copyrighted hard-work. Interestingly enough, the very place that the Turnitin.com service originally started now has grave doubts over the legality of the Turnitin.com service.</p>
<p>Turnitin.com founder John Barrie was a graduate student at UC Berkeley when he started developing the software that the site runs on. Currently, UC Berkeley does not subscribe to Turnitin.com because they feel the site may be infringing upon student&#8217;s copyrights.</p>

			<content:encoded><![CDATA[<p>Most of us grow up believing that we each have a purpose or a destiny. I also believe that to be so. Unfortunately, many blame their destiny on so many different elements of their lives. I do believe there are certain circumstances or factors that interfere or change our destiny that are beyond our control.</p>
<p>What I do believe however, is that the way we approach these challenges or obstacles can also alter the outlook of things. Let&#8217;s take for instance the philosophy of the paths we take. We each walk down a path in life. Our paths can have many forks in them, some more than others. We may not be able to choose the path we are on but we can choose to turn right or left. What do we do when we realize we have made a wrong turn? It sounds so simple; we just turn around and go back. Sometimes that is not an option so we move forward waiting for the next fork in hopes that our next turn will lead us back on the correct path.</p>
<p>What do we do when we walk so far only to find an obstacle blocking the path we want to take? We could try to turn around or stop and let that obstacle hinder us from moving on. We could bravely climb over that obstacle or what if it was so easy to walk around it? There is no correct answer, except in our hearts.</p>
<p>The most important aspect is that we have a choice. We have the freedom to choose. We may not like the choices presented to us, but we do a have a choice. Sometimes we feel life is unfair, that no matter which path we take we are challenged with more obstacles than our neighbor.</p>
<p>Who can we blame? Who can we depend on? Some of us rely on our faith to help us through our difficult journeys while the rest of us are left to figure out what our faith really is. Some of us blame our neighbor for our obstacles in life while some blame God. How do we get past blaming anyone? We choose to do so. What happens to those that never get past the blame stage?</p>
<p>I do not have an answer. I can only hope that one day they realize that they have to make the choice to move on and to accept the good with the bad. What would life be without its ups and downs? It would not be life. Things do happen for a reason. We may not seem to understand these things now but we have to move on.</p>
<p>We have to continue living in hopes that we can learn from our past and that our experiences give us the will to live better lives. If not sculpt the being that we have become but perhaps reinforce the appreciation of life itself. With all hopes to find peace within our precious lives and not be a tormented soul.</p>

			<content:encoded><![CDATA[<p>Most states make forming a corporation relatively painless by providing forms for practically everything. The bylaws of the corporation, however, are an area you don&#8217;t want to rely on a form.</p>
<p>What Are Bylaws?</p>
<p>Bylaws are the technical rules that govern how a corporation will be run. They are a private document for the corporation and are not filed with any government entity. The purpose of the bylaws is to set out how things such as meetings, voting and share transfer will occur with the business.</p>
<p>Provisions</p>
<p>Typically, the bylaws will be the biggest document in your corporate book. If you are a single shareholder entity, they tend to be fairly straightforward since there isn&#8217;t really any dispute possibility unless you have a split personality. If there are two or more shareholders, however, the document is going to be a key item because it is going to detail voting rights and so on.</p>
<p>Typically, the bylaws of a corporation will cover the following specific issues:</p>
<p>1. Board of Director Meetings - When, where and how meetings will be conducted.</p>
<p>2. Notice of Meetings - The form, time and how notice must be given to board members.</p>
<p>3. Quorums - Before a board can issue resolutions on corporate business, a certain percentage of board members must be present. This &#8220;Quorom&#8221; is set out in the bylaws.</p>
<p>4. Annual Meetings - The bylaws typically detail when and where the annual meeting of the entity will occur.</p>
<p>5. Special Meetings - The process by which special board meetings may be called when an issue arises that requires the immediate attention of the board.</p>
<p>6. Voting Rights - Language detailing the voting rights of shareholders and board members in relation to passing or defeating resolutions.</p>
<p>7. Share Transfer Rights - Language detailing share transfer issues such as right of first refusal and so on.</p>
<p>8. Directors - Language detailing how many board members there will be, the length of their term, compensation, etc.</p>
<p>9. Amendment - The process by which the bylaws can be amended to reflect the evolution of the business.</p>
<p>10. Removal - Language detailing when and how a board member can be involuntarily removed.</p>
<p>There are numerous other provisions that can and probably should go into the bylaws of a corporation. Make sure to discuss them with your attorney.</p>

			<content:encoded><![CDATA[<p>Perhaps you&#8217;ve heard of or seen Hollywood&#8217;s portrayal of Swiss Bank accounts, Offshore Trusts and Corporations, and Tax Havens of the rich and famous as jet setting moguls live mysterious yet exciting lives.</p>
<p>But in the real world, although these same financial structures (most administrated by reputable and legal banks), have been around for hundreds of years, there are still many people who consider the above strategic asset protection entities as illegal.</p>
<p>I think we need to look at what they were intended to do. Asset or lawsuit protection laws were designed for the very purpose of protecting your assets from being frozen and the possibility of unjust forfeiture.</p>
<p>Still others consider asset protection a moral dilemma&#8230; something unethical or dishonest. This is the furthest thing from the truth.</p>
<p>But, at the same time, I&#8217;m not trying to start a moral debate here nor am I recommending nor would any attorney in their right mind advise that you avoid paying a judgment or fine that you rightfully owe.</p>
<p>That being said, I feel you should be in the position to make the final verdict on what is fair and right.</p>
<p>Because when lifetime, incumbent judges and bleeding-heart juries stop handing out ludicrous decisions, then I&#8217;ll be the first person to tell you that you&#8217;ll no longer need to protect your hard earned assets.</p>
<p>I guess the irony of it is, collection lawyers, government agencies such as the IRS and the FTC, and everyone outside the asset protection circle, make every effort to characterize legal asset protection as dishonest, fraudulent, or worse.</p>
<p>Of course, their motives are transparent. They viciously denounce anyone who successfully stop their efforts to collect or seize their assets which then disrupts the stream of income flowing in their direction.</p>
<p>So, total asset protection is NOT illegal or a privilege; it is a freedom protected by the U.S. Constitution. Imagine that.</p>
<p>I think most people would be totally surprised at how many of our politicians and well known corporate giants have gone offshore to safe guard their millions in assets.</p>
<p>Looking into asset protection and then taking action to protect your business and personal assets maybe one of the most important and intelligent financial decisions you may ever make.</p>
<p>So, talk to an asset protection consultant and attorney now&#8230; before its too late.</p>
